Sydney Capital as a Qualified Opportunity Fund

Sydney Capital (SC) is organized for the purpose of investing in qualified opportunity zone (QOZ) property, businesses, and workforce development.  SC intends to meet the required 90% investment standard by purchasing domestic corporation QOZ Stock, QOZ Partnership Interest, and/or QOZ Business Property, and, when necessary, substantially improving the QOZ property. SC will directly purchase and improve QOZ property, or do so via a business located in a QOZ.

Less than 5% of the average of the total unadjusted basis of the property of the QOZ businesses in which SC invests will be from nonqualified financial property (debt, stock, partnership interests, options, futures contracts, forward contracts, warrants, notional principal contracts, annuities, and other similar property), excluding reasonable amounts of working capital held as cash, cash equivalents, or debt instruments with a term of 18 months or less).  Therefore, SC will make no loans with terms exceeding 18 months.

Finally, none of Sydney Capital’s QOZ investments will include nonqualified businesses (e.g., private or commercial golf course, country club, massage parlor, hot tub facility, suntan facility, racetrack or other facility used for gambling, or any store the principal business of which is the sale of alcoholic beverages for consumption off premises).

Therefore, Sydney Capital’s mission aligns perfectly with the spirit and intent of Subchapter Z (Opportunity Zones) of The Tax Cuts and Jobs Act.
